1. WHO WE ARE AND WHAT THESE TERMS COVER

These Terms of Service ("Terms") are a binding contract between you and La Corbiere LLC, a Georgia limited liability company doing business as Lily Hill Farm ("Lily Hill Farm," "we," "us," "our").

These Terms govern your access to and use of www.lilyhillcattle.comand any related site, page, or storefront we operate (the "Site"), and your purchase of any product from us (each, a "Product").

The following policies are incorporated into these Terms by reference and form part of your agreement with us. Please read each one:

If a conflict exists between these Terms and one of the incorporated policies, the incorporated policy controls as to its specific subject matter, and these Terms control as to everything else.

2. YOUR AGREEMENT TO THESE TERMS

You agree to these Terms when you do any of the following: (a) check the box or click the button at checkout indicating your agreement; (b) place an order with us; or (c) create an account on the Site.

If you do not agree to these Terms, do not place an order.

3. ELIGIBILITY

You must be at least 18 years old and the age of majority in your state of residence to place an order. By ordering, you represent that you meet this requirement and that the payment method you use is lawfully yours to use.

4. ORDERS, PRICING, AND OUR RIGHT TO DECLINE

4.1 Order acceptance. Your order is an offer to buy. We accept your offer only when we ship the Product. A confirmation email acknowledging receipt of your order is not acceptance.

4.2 We may decline or limit orders. We may refuse, limit, or cancel any order, in whole or in part, for any lawful reason, including suspected resale, suspected fraud, quantity limits, or an inability to ship safely to your location. If we cancel an order you have already paid for, we will refund you in full.

4.3 Pricing and description errors. Prices, promotions, and Product descriptions may contain errors. If a Product's correct price is higher than the price listed, we will either contact you for authorization before shipping or cancel the order and refund you. We are not obligated to sell at an erroneous price, even after order confirmation.

4.4 Your information. You agree to provide accurate, current, and complete purchase and account information, including a deliverable shipping address and a monitored email address and phone number. Because our Products are perishable, an incorrect or incomplete shipping address is a material breach, and we are not responsible for loss caused by it. See the Shipping & Perishable Goods Policy.

4.5 Taxes. Prices exclude applicable sales and use taxes unless stated otherwise. You are responsible for all taxes assessed on your order.

5. FOOD PRODUCTS — INSPECTION, HANDLING, AND SAFE PREPARATION

5.1 Inspection status. All of our beef — individual cuts and whole, half, and quarter shares alike — is processed at a USDA-inspected establishment and bears the USDA mark of inspection. Beef shares are additionally subject to the separate Beef Share Purchase Terms.

5.2 You must maintain the cold chain. Upon delivery, you are responsible for immediately refrigerating or freezing all meat Products in accordance with the handling instructions on the package. Our responsibility for the condition of a Product ends when it is delivered to your address and you have had the inspection opportunity described in the Shipping & Perishable Goods Policy.

5.3 Safe preparation. Raw and undercooked meat may contain bacteria that can cause illness. You are responsible for cooking all meat Products to safe internal temperatures as recommended by the USDA, and for avoiding cross-contamination during preparation. Follow the safe handling instructions printed on the package.

5.4 Natural variation. Beef is an agricultural product. Cut weights, marbling, color, fat content, portion counts, and flavor vary naturally between animals and across seasons. Variation within our stated tolerances is not a defect.

5.5 Weights are approximate; prices are fixed. Where we advertise a weight for an individual cut or a beef share, that weight is an estimate unless expressly stated as exact. You pay the fixed price shown at checkout. We do not bill by actual weight and we do not issue a supplemental invoice if a product comes in heavier than estimated. For beef shares, estimated yield depends substantially on your own cut sheet choices — see the Beef Share Purchase Terms, Section 3.

6. SKINCARE AND TALLOW PRODUCTS — COSMETICS, NOT DRUGS

6.1 Regulatory status. Our tallow balms, salves, and related topical Products are cosmetics intended to cleanse, moisturize, or improve the appearance of skin. They are not drugs. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition, including eczema, psoriasis, dermatitis, acne, rosacea, burns, wounds, or infection. No statement on the Site, on our packaging, or in our marketing should be understood as a medical claim.

6.2 Not a substitute for medical care. Nothing we publish is medical advice. Consult a physician or dermatologist about any skin condition. Do not apply our Products to broken skin, open wounds, mucous membranes, or the eye area unless the label expressly directs otherwise.

6.3 Patch test. We recommend that you patch test before first use. Apply a small amount to a discreet area of skin, wait 24 hours, and discontinue use if irritation develops.

6.4 Discontinue on reaction. Stop using the Product immediately and seek medical attention if you experience rash, hives, swelling, burning, difficulty breathing, or any other adverse reaction.

6.5 Adverse event reporting. Please report any adverse reaction to us at contact@lilyhillcattle.com with the Product name, lot or batch number, purchase date, and a description of the reaction. Reporting helps us meet our safety obligations and is not an admission of liability by either of us.

6.6 Storage. Tallow-based Products are temperature sensitive. They may soften, melt, or change texture in heat and firm up in cold. Texture change from temperature is not a defect and does not affect the Product's suitability for use. Store below 85°F away from direct sunlight.

7. ALLERGEN AND SENSITIVITY DISCLOSURE — PLEASE READ

ALL OF OUR PRODUCTS, INCLUDING OUR SKINCARE PRODUCTS, ARE DERIVED FROM CATTLE (BOVINE / MAMMALIAN SOURCES).

7.1 Alpha-gal syndrome. Alpha-gal syndrome ("AGS") is an allergy to galactose-α-1,3-galactose, a sugar found in most mammals, which in the United States is most often triggered by a lone star tick bite. People with AGS may react to red meat and to mammalian-derived ingredients in topical products, including beef tallow. If you have or suspect you have AGS, or have ever reacted to red meat or to a mammal-derived product, do not use our Products without first consulting your physician.

7.2 Other ingredients. Full ingredient lists appear on each Product page and on the Product label. Review them before purchasing if you have any known allergy or sensitivity. Ingredient formulations may change; the label on the Product you receive controls.

7.3 Our facility. Our tallow skincare Products are manufactured in a dedicated production area of the same building in which we pack and ship our raw beef. Tallow skincare is the only product line manufactured at this facility — we do not produce or handle any other company's products here. Because beef and tallow share a building, you should assume incidental bovine cross-contact throughout. Every other ingredient in a Product is declared on that Product's label.

7.4 You accept this risk. By purchasing, you acknowledge that you have reviewed the ingredient information and that you assume the risk of any allergy or sensitivity you did not disclose to a medical professional before use.

8. SHIPPING, PERISHABILITY, AND RISK OF LOSS

Shipping timelines, carrier terms, receipt requirements, seasonal and holiday restrictions, the inspection window, and the point at which risk of loss transfers to you are governed by our Shipping & Perishable Goods Policy, which is part of these Terms. Read it before ordering. It contains material limitations on our obligations for shipments that are refused, undeliverable, or left unattended.

9. RETURNS, REFUNDS, AND OUR GUARANTEE

Because our Products are perishable and consumable, they are generally not returnable. Our Returns, Refunds & Freshness Guarantee describes the limited circumstances in which we will replace or refund a Product, and the deadlines and documentation required to make a claim. Those deadlines are strict.

10. SUBSCRIPTIONS AND RECURRING ORDERS

This Section applies only if you enroll in a subscription, membership, or auto-ship plan.

10.1 Subscriptions are governed by our Purchase Options Cancellation Policy at https://www.lilyhillcattle.com/policies/subscription-policy, which is part of these Terms and sets out billing, cancellation, skipping, price changes, and failed payments in full.

10.2 The essentials. By enrolling you authorize us to charge your payment method on the recurring schedule and at the price disclosed at enrollment, until you cancel. You may cancel at any time, online, in no more steps than it took to enroll. We give at least 30 days' advance notice by email before any price increase or billing frequency change.

11. BEEF SHARES

Whole, half, and quarter beef share purchases are governed by our separate Beef Share Purchase Terms. Shares are sold at a fixed price. Any pound figure we quote is an estimate of yield, not a guarantee, and your cut sheet choices will change how much beef you take home. Deposits, cut sheet deadlines, processor scheduling, and pickup are addressed there.

12. PERSONAL USE ONLY — NO RESALE

Products are sold for your personal, household, or on-premise business use only. You may not resell, redistribute, or offer our Products for sale on any third-party marketplace, auction site, or retail channel without our prior written authorization. This includes Amazon, eBay, Walmart Marketplace, Etsy, TikTok Shop, and any similar platform.

We may cancel orders, close accounts, and pursue any available remedy for violations. Products purchased in violation of this Section are sold without any warranty or guarantee, and we disclaim all responsibility for the condition, storage, handling, or authenticity of any Product acquired outside our authorized channels.

13. MARKETING COMMUNICATIONS

13.1 Email. By providing your email address, you agree we may send you transactional messages about your orders. Marketing emails require your consent and include an unsubscribe link in every message.

13.2 Transactional messages continue. Opting out of marketing does not stop order confirmations, shipping notices, or safety or recall communications.

14. REVIEWS, PHOTOS, AND OTHER CONTENT YOU SUBMIT

14.1 What this covers. "User Content" means anything you submit or make available to us or publicly in connection with Lily Hill Farm: reviews, ratings, photographs, videos, recipes, testimonials, comments, social media posts that tag or mention us, survey responses, and messages you send us.

14.2 License you grant us. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, perpetual, and irrevocable license to use, reproduce, adapt, publish, translate, distribute, and display your User Content in any medium, including advertising, packaging, and social media, which we may attribute to your first name, last initial, and general location, or to your social media handle. We are not obligated to use it, to keep it confidential, to attribute it, or to compensate you.

14.3 Your representations. You represent that you own or control all rights in your User Content, that it does not infringe anyone's rights, that any person depicted has consented, and that your statements about our Products are your honest opinion based on actual experience.

14.4 Honest reviews and disclosure. If you received a free Product, a discount, a payment, a commission, a giveaway entry, or any other incentive in exchange for or in connection with a review or endorsement, you must clearly and conspicuously disclose that fact in the review or post itself. We do not condition any incentive on the review being positive, and we do not suppress, edit, or remove reviews because they are negative. We may remove User Content that is unlawful, abusive, off-topic, fraudulent, or that violates this Section.

14.5 Removal requests. You may ask us to stop using your User Content going forward by emailing contact@lilyhillcattle.com. We will use commercially reasonable efforts to honor the request prospectively, but we are not obligated to recall materials already produced, printed, or distributed.

15. INTELLECTUAL PROPERTY

15.1 Ours. The Site and everything on it — the Lily Hill Farm name and logo, product names, photography, video, copy, recipes, packaging design, and site design — is owned by us or our licensors and protected by intellectual property law. We grant you a limited, revocable, non-transferable license to view and use the Site for the purpose of shopping with us. Nothing else is granted.

15.2 What you may not do. You may not copy, reproduce, republish, sell, or exploit any part of the Site or our content without our prior written permission. You may not use any automated system — including scrapers, crawlers, bots, or data-extraction tools — to access, collect, or copy Site content, and you may not use any Site content to train, fine-tune, or develop any machine learning or artificial intelligence model. Robots.txt directives and rate limits must be respected.

15.3 Copyright complaints. Our designated DMCA agent and the required elements of a takedown notice are set out in our Legal Notice at https://www.lilyhillcattle.com/policies/legal-notice.

16. PROHIBITED USES

You may not use the Site or our Products: for any unlawful purpose; to solicit unlawful acts; to violate any law, regulation, or ordinance; to infringe our or anyone's intellectual property; to harass, abuse, defame, intimidate, or discriminate against anyone; to submit false or misleading information; to transmit malware or any harmful code; to collect or track others' personal information; to spam, phish, pretext, spider, crawl, or scrape; for any obscene purpose; or to interfere with or circumvent the Site's security features. We may terminate your access for any violation.

17. THIRD-PARTY SITES, TOOLS, AND SERVICES

Our Site is hosted on Shopify and uses third-party payment processors, shipping carriers, review platforms, and marketing tools. We do not control those third parties and are not responsible for their acts, omissions, terms, or privacy practices. Links to third-party sites are provided for convenience only and are not endorsements. Direct any complaint about a third-party product or service to that third party.

18. ACCESSIBILITY

We are committed to making the Site usable by people with disabilities and work toward conformance with WCAG 2.1 Level AA. If you encounter a barrier or need assistance completing an order, contact us at contact@lilyhillcattle.com and we will help you complete your purchase and work to remedy the issue. We welcome feedback on accessibility.

19. FORCE MAJEURE

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including: drought, flood, fire, storm, extreme heat or cold, or other severe weather; livestock disease, quarantine, or animal health order; processing plant closure, backlog, capacity reduction, or loss of inspection; feed, fuel, packaging, or dry ice shortage; carrier delay, disruption, service suspension, or labor action; utility, network, or Shopify platform outage; epidemic or pandemic; and government action or regulation. If a force majeure event prevents us from shipping your order within a reasonable time, we will notify you and, at your election, reschedule or refund it. That refund or reschedule is your sole remedy.

20. DISCLAIMER OF WARRANTIES

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, LILY HILL FARM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY RESULT OBTAINED FROM USING THE SITE OR ANY PRODUCT WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS.

WE MAKE NO WARRANTY THAT ANY SKINCARE PRODUCT WILL PRODUCE ANY PARTICULAR RESULT OR THAT IT WILL BE SUITABLE FOR YOUR SKIN.

NOTHING IN THIS SECTION DISCLAIMS ANY WARRANTY THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, AND NOTHING IN THIS SECTION LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD, OR FOR ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER RIGHTS THAT VARY BY STATE.

21. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, LILY HILL FARM AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE GOODS, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS DO NOT APPLY TO CLAIMS FOR DEATH OR BODILY INJURY CAUSED BY OUR NEGLIGENCE, TO CLAIMS FOR FRAUD OR INTENTIONAL MISCONDUCT, OR TO ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU.

THE PARTIES AGREE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND THAT THEY APPLY EVEN IF A LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

22. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Lily Hill Farm and its owners, members, officers, employees, contractors, agents, and suppliers from any third-party claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms or any incorporated policy; (b) your violation of any law or the rights of any third party; (c) your User Content; (d) your resale or redistribution of any Product in violation of Section 12; or (e) your failure to store, handle, prepare, or use a Product in accordance with its instructions. This Section does not require you to indemnify us against our own negligence or intentional misconduct.

23. DISPUTE RESOLUTION

23.1 Informal resolution first — required. Before starting any legal proceeding, you agree to give us written notice at contact@lilyhillcattle.com describing the dispute and the relief you seek, and to allow us thirty (30) days to resolve it. We will do the same before bringing any claim against you. Most problems are solved in a single email. This notice requirement is also intended to satisfy the pre-suit written demand required by the Georgia Fair Business Practices Act, O.C.G.A. § 10-1-399(b), where that Act applies.

23.2 Governing law. These Terms and any dispute arising out of or relating to them, the Site, or any Product are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

23.3 Venue. Subject to Section 23.5, you and we agree that the exclusive venue for any action is the State Court or Superior Court of Troup County, Georgia, or the United States District Court for the Northern District of Georgia, Newnan Division. You consent to the personal jurisdiction of those courts and waive any objection based on venue, forum non conveniens, or inconvenient forum.

23.4 Time limit for claims. To the fullest extent permitted by law, and consistent with O.C.G.A. § 11-2-725(1), any claim arising out of or relating to these Terms or any Product must be commenced within one (1) year after the cause of action accrues, or it is permanently barred.

23.5 Small claims. Either of us may bring an individual claim in small claims court in Troup County, Georgia, or in the county of your residence, if it qualifies.

24. CHANGES TO THESE TERMS

We may update these Terms. When we do, we will change the "Last Updated" date at the top and post the revised Terms on the Site.

If a change is material — including any change to Sections 20, 21, or 23 — we will give you at least thirty (30) days' advance notice by email to the address associated with your account or most recent order, and the change will not take effect until the stated effective date. Material changes apply only prospectively and do not affect any order placed, or any dispute that arose, before the effective date. Placing an order after the effective date constitutes acceptance.

25. TERMINATION

You may stop using the Site at any time. We may suspend or terminate your access or your account at any time if you breach these Terms or if we reasonably suspect fraud or unlawful activity. Termination does not affect any order already accepted or any amount already owed. Sections 5, 6, 7, 12, 14, 15, 20, 21, 22, 23, and 26 survive termination.

26. GENERAL

26.1 Entire agreement. These Terms, together with the incorporated policies listed in Section 1, are the entire agreement between you and us regarding the Site and your purchases, and supersede all prior agreements and communications on that subject.

26.2 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The rest remains in effect.

26.3 No waiver. Our failure to enforce any provision is not a waiver of it.

26.4 Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, reorganization, or sale of substantially all of our assets.

26.5 No third-party beneficiaries. These Terms create no rights in anyone other than you and us, except that the persons and entities named in Sections 21 and 22 may enforce those Sections.

26.6 Notices. We may give you notice by email to the address on your account or most recent order, or by posting on the Site. You must give us notice at contact@lilyhillcattle.com and, for legal notices, by certified mail to 3839 Piedmont Lake Road, Pine Mountain, Georgia, 31822

26.7 Headings. Headings are for convenience only and do not affect interpretation.

26.8 Interpretation. These Terms will be interpreted according to their plain meaning and will not be construed for or against either party as drafter.

26.9 Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship.
